WORKBENCH TERMS OF USE

1. Agreement to Terms

These Terms of Use ("Terms") govern your use of the Workbench website and software ("Service"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "Customer" refers to that company.


2. Our Service

Workbench provides software that helps companies manage employee performance and compensation review workflows. We may update or modify the Service at any time.

Beta features may be released for testing and may contain bugs or limited functionality.


3. Accounts and Responsibilities

You are responsible for:

  • Providing accurate account information
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Ensuring your use complies with applicable laws

You must not:

  • Reverse engineer or attempt to access the Service in unauthorized ways
  • Use the Service to store or transmit unlawful content
  • Disrupt or attempt to disrupt the Service

4. Customer Data

"Customer Data" means any data or content uploaded to the Service by or on behalf of the Customer.

A. Ownership

Customer retains all ownership rights to Customer Data.

B. License to Workbench

Customer grants Workbench a limited, non-exclusive license to process Customer Data as needed to provide the Service.

C. Responsibilities

Customer is responsible for:

  • Ensuring Customer Data complies with applicable laws
  • Ensuring Customer has permission to upload employee information
  • The accuracy and legality of Customer Data

Workbench does not control or monitor Customer Data.


5. Payment and Subscriptions

If you purchase a paid subscription:

  • Fees are billed through Stripe
  • Fees are non-refundable except as required by law
  • Subscriptions renew automatically unless cancelled
  • You authorize Stripe to charge your payment method

Workbench may change pricing with reasonable notice.


6. Intellectual Property

Workbench owns all rights in the Service, including software, design, and branding. Except for the limited rights granted in these Terms, no license is granted.


7. Confidentiality

Each party agrees to protect the other party's confidential information and use it only to perform under these Terms.


8. Security

Workbench uses commercially reasonable security measures to safeguard Customer Data. Customer is responsible for securing its own systems and user access.


9. Data Processing Addendum (DPA)

If Customer is a business, the Workbench Data Processing Addendum forms part of these Terms and governs our processing of personal data on Customer's behalf.

By accepting these Terms, Customer also accepts the DPA.


10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE."

Workbench disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

  • Error-free operation
  • Uninterrupted service
  • Data accuracy within customer-generated content

11. Limitation of Liability

To the fullest extent permitted by law:

  • Workbench is not liable for indirect, incidental, consequential, or punitive damages.
  • Workbench's total liability for any claim is limited to the amount paid to us in the 12 months before the claim arose.

These limits apply even if we have been advised of the possibility of damages.


12. Indemnification

Customer agrees to indemnify and hold harmless Workbench from claims arising out of:

  • Customer Data
  • Customer's misuse of the Service
  • Customer's violation of applicable laws

13. Termination

Either party may terminate the account at any time. Upon termination:

  • Customer must stop using the Service
  • Customer may request deletion of Customer Data
  • Fees already paid are non-refundable

14. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any disputes must be brought in the state or federal courts located in Fulton County, Georgia.


15. Changes to These Terms

We may update these Terms from time to time. Updates take effect when posted. Continued use of the Service means you accept the updated Terms.
